CASINO, BETTING, BINARY OPTIONS INTERNATIONAL LICENSE
Our company will assist you through all the procedures of obtaining a Gaming licence (casino, sports betting and binary options) in Curacao and will assist you with payment solutions – merchant accounts – for your gaming business.
A Curacao gaming licence is an international licence and the German bank with which we will open processing account for your business accepts Curacao licence.
The Curacao licence may be obtained within 4-7 weeks (compared to Malteze licence which can take as much as 12 months).
There are 3 steps in this procedure:
- Setting up a Curacao company in one of the curacao E-Zones.
- Filing and obtaining the Curacao gaming licence.
- Connention with the bank for the payment processing and assistance with card issuance which support gaming industry.
1. Company registration in Curacao
A.1. Requirements:
– The Signed Client’s Compliance Form;
– The Signed Indemnity Agreement;
– The Signed Management Agreement;
– Signed Fee and Terms of Service Agreement;
– The Questionlist, completed (please see the Annex 1 within this document);
– Xerox copy of a valid passport;
– Xerox copy of a Photo Identity Card bearing your signature;
– Original personal bank reference letter not older than three months;
– Original or a certified copy of a Utility Bill or similar document showing residential address as proof of residence not older than three months;
– Curriculum Vitae;
– Signed and dated drawing or description of ownership and/or underlying structure of the company;
– Business plan;
– Original proof of no criminal record not older than three months.
– Original personal reference letter from a registered lawyer or accountant not older than 3 months – we will provide.
In case of (a) corporate shareholder(s), the following additional documents a required as far as applicable to the specific entity:
- Certified copy of the Articles/ Deed of Incorporation or Certified copy of the Articles of Association;
- Original excerpt trade registry or a similar document evidencing the existence;
- Certified copy share register or custody agreement in case of bearer shares;
- List of directors;
- List of authorized signatures.
A.2. Costs and fees:
The total fees and costs are 9000 USD, which cover:
– One time setup fee;
– Annual fee for 2014. The next one will be paid by the client and for the 2015 and next is 3250 USD;
– The annual tax for 2014; The next one will be paid by the client and is of 110/year.
The client will pay any additional costs, such as:
– For extra legal and financial work, including the Financial Statements or the local corporate service provider – hourly basis 75 – 300 p/hour;
– Tax Return: 500/ third party provider.
A.3. The procedure:
The retainer fee of 13.000 USD should be wired together with the required documents. This will cover the company setup costs and fees.
A.4. Time Span:
After all the documents are received and the retainer of is paid, the company registration will last 2-3 days. Another week will be needed to register the company with the local authorities.
2. Filing and obtaining the Curacao gaming licence.
As one of the first jurisdictions in the world recognizing the potential of E-Gaming, Curacao offers a very attractive alternative for the continuously changing landscape for the on-line operator and application provider.
The company typically will be set-up as gaming company operating from an E-Zone and will apply for the “Admittance” to obtain E-Zone status (2% annual profit tax).
B.1. Requirements:
Apart from the “normal” KYC information and incorporation requirements, it is requested to submit:
- Recent certificate from local authorities regarding the Good Standing of the (human) owners of the company;
- Description of the applications, copies of software agreements and all other relevant documentation related to the games offered on the licensed sites, including but not limited to RNG information and certification where applicable (this would not be applicable for sports betting);
- A Network diagram portraying the IT/Network set-up and its geographical location of the servers and services (incl. IP-addresses), for as far as these are not all located in Curacao, and the role of the in Curacao located hardware in this set-up; Do you have an existing business and/or licenses, or is this a new business? If existing, please provide us with a URL and current licenses where applicable.
- Shareholders register;
- Structure drawing;
- A certificate of “no criminal record” of the owners of the company to ensure that there are no criminal records about these owners, not older than 3 months;
- Copies of passport(s)
- Bank references of the owners; not older than 3 months
- Copies of utility bills not older than 3 months
- Standard KYC information (copies passports, etcetera)
- Description of the games offered
- Confirmation of the RNG application and its fairness, details about the software utilized and TST (or similar) report if available;
- Geographic/target market;
- Declaration letter of owners that they have blocked access to the services for minors and information of problem gambling on the website;
- Copy of an Agreement between the Software provider and the company which applies for the license;
- Declarations letter that the licensing authority will be immediately notified about any significant changes and/or termination Software provider and the company which applies for the license;
- Copy of an Agreement between the Hardware provider and the company which applies for the license (if needed);
- Declarations letter that that the licensing authority will be immediately notified about any significant changes and/or termination between the Hardware provider and the company which applies for the license (if needed).
- Furthermore it is required to have the servers or part thereof in Curacao. Another option is to work with already established operators and/or application providers in E-Commerce Park and use their infrastructure or part thereof. In the Network Diagram you can indicate which part of your infrastructure is physically in Curacao. There is minimum requirement of having a (copy of) player database server located in Curacao.
B.2. Costs and fees:
The total fee and costs is 20.000 Euro, which covers:
-The application costs and fee for the IP-Agreement;
– The first annual license cost, which includes coverage for 2URLs. The next years the client will pay USD 4,800. Additional URL’s, provided they are owned by same company, can be added against additional fees (USD 2,400/URL with total maximum license cost of USD 12,000).
– Costs of organising the hardware infrastructure and keeping servers or part thereof in Curacao in the first month. Furtheron the client will aprove the offer for his particular needs and will pay the related costs directly. For Smaller set-up (back-up) you can budget a monthly costs of $500- $750, depending on services and bandwidth.
B.3. The procedure:
The retainer fee of 15.000 EUR should be wired to our indicated bank account, together with the required documents. This will cover the cocts and a part of the fee.
B.4. Time Span:
The timing of the whole process is 4-7 weeks mostly depending on the availability of the above information.
